An “accredited investor” is an individual or entity that meets certain financial criteria as defined by 17 CFR § 230.501, Regulation D of the Securities Act of 1933. Individuals may qualify as accredited investors based on wealth and income thresholds, as well as other measures of financial sophistication. Entities may qualify based on different criteria. Please refer to SEC guidance [https://www.sec.gov/education/capitalraising/building-blocks/accredited-investor] for more information on what qualifies an individual or entity as an accredited investor.

Yes. You can invest through an entity as long as the entity meets the accredited investor requirements. LLC’s & 401k’s invest in RREAF-sponsored deals regularly.

Before investing, you will receive a Confidential Private Placement Memorandum (“PPM”) that provides information about the offering of securities in the “Issuer.” The Issuer is a RREAF-affiliate entity which will generally hold indirect interests in the applicable real estate investment asset.  Your investment will be a subscription for equity interests (securities) in the Issuer. To subscribe, you will sign “Subscription Documents” providing the terms of your investment, requesting your accredited investor verification information, and including acknowledgement of the full set of information contained in the PPM. You will also be joining the Issuer as a “member” meaning an equity owner in the Issuer. To become a member of the Issuer, you must also sign a “Joinder” page to join the limited liability company operating agreement (“Operating Agreement”) of the Issuer. The Operating Agreement will be provided to you with the PPM. Other documents may be required depending on the specifics of the investment.

Depends on the deal, and distributions are not guaranteed, but certain deals provide distributions on a quarterly basis. The PPM will contain more information about anticipated distributions.

RREAF investment deals are offered in accordance with 506(c) of Regulation D, which allows an entity to solicit only to “accredited investors”, requires complete disclosures provided in a PPM (defined above), and the “Issuer” is not limited in terms of how much money it can raise. While the term “crowdfunding” may be used informally, the term as used in securities regulation refers to another means by which an entity may raise money. With “Crowdfunding” as defined in “Regulation Crowdfunding”, a company can raise money from individuals who do not meet the financial security requirements of “accredited investor” status, but the entity raising money may not raise more than one million dollars in a year. This type of Crowdfunding is usually used to raise relatively smaller amounts of money from a relatively larger amount of people, as compared with RREAF investment deals. 

Crowdfunding may also refer to a platform connecting investors to certain investment deals, where the platform acts a broker. RREAF, as investment Sponsor, pursues, investigates and manages all of its investment deals, allowing an investor to invest directly in the Issuer which is an affiliate of RREAF.
